Purchase Price Allocation
for M&A
We support clients in allocating the purchase consideration paid for an acquisition to the fair value of the assets and liabilities acquired, as required under Ind AS, IFRS, US GAAP, and in slump sale or slump exchange transactions. This includes valuing tangible and intangible assets and determining any resulting goodwill.
PPA is a technical exercise that calls for strong valuation expertise and a clear understanding of the target’s business and value drivers. We bring proven capability in valuing both tangible and intangible assets and have delivered complex PPA assignments across industries and geographies.
Impairment Assessment
- We support clients in assessing impairment of cash generating units (CGUs), tangible assets, intangible assets, and goodwill in line with financial reporting requirements under Indian GAAP, Ind AS, IFRS, and US GAAP. Impairment analysis is triggered periodically or when there are indicators of a decline in asset value and involves re-measuring assets to reflect their recoverable amounts.
- Our team conducts independent impairment assessments and helps management, auditors, and regulators understand the key valuation considerations with clarity and confidence.
Swap Ratio Valuation
- For any company aiming to unlock its next stage of growth, the Board of Directors must make informed strategic decisions. When pursuing pathways such as mergers and acquisitions, leveraged buyouts, amalgamations, desmergers, or other forms of restructuring, an independent valuation becomes essential.
- IBBI regulations require that such opinions be issued by a Registered Valuer to ensure fairness, transparency, and credibility in the eyes of shareholders and regulators. This independent oversight helps validate the Board’s decisions and enhances stakeholder confidence. We are Registered Valuers – Securities and Financial Assets under IBBI.
Complex Instruments Valuation
(Including IRS 409a Reports)
- Including equity instruments, debt securities, convertible instruments, options, warrants, forwards, futures, and hybrid contracts
- For purposes such as commercial transactions, financial reporting, or regulatory compliance.
- Valuation of such instruments requires deep technical expertise and rigorous modelling. Our team brings precision, independence, and clarity
Intangible Asset Valuation
We support clients in the identification and valuation of intangible assets and intellectual property (IP) across a variety of business contexts. These assets often represent a significant share of enterprise value and require careful consideration during transactions, reporting, and strategic decision-making.
Our work covers a broad spectrum of intangibles, including:
- Brands, trademarks and trade names
- Patents, proprietary technology and software
- Copyrights, publishing rights and content assets
- Licenses, franchises and permits
- Customer relationships and contracts
- Trade secrets, formulas and know-how
Valuation of intangible assets is typically required for:
- Mergers, acquisitions and joint ventures
- Purchase price allocation (PPA) under Ind AS, IFRS or US GAAP
- Impairment testing and financial reporting compliance
- Licensing or royalty arrangements
- Transfer pricing and restructuring
- Fundraising, investor negotiations and strategic business planning
Intellectual property lacks clear market benchmarks, so assigning fair value requires understanding legal rights, economic life, competitive position, and income potential. Using globally accepted approaches, our experienced team delivers defensible, insight-driven valuations that help stakeholders unlock and communicate the true economic value of their IP portfolio
